Client Service Agreement &
Standard Operating Terms

This Agreement governs full-stack digital development, custom web applications, client portals, bespoke AI automation systems, and cloud infrastructure services provided by OrbitCraft Web (a digital development practice of Paul Moreira) to the purchasing Client business.

OrbitCraft Web is a full-stack digital product and software engineering practice specializing in high-performance websites, custom web applications, customer and employee portals, database architectures, and bespoke AI workflows. Standard Scope & Communications: Standard project packages deliver digital web applications, interactive software, and direct email/webhook lead routing. Cellular SMS/MMS broadcasting campaigns, outbound auto-dialers, and carrier telemarketing compliance are not included in standard packages and require dedicated, custom project scoping.

Exclusive In-House Engineering Scope (No Third-Party Site Takeovers): OrbitCraft Web designs, builds, and launches original custom software and websites from the ground up. OrbitCraft Web does not adopt, inherit, repair, debug, or take over maintenance of existing third-party websites, external legacy codebases, or DIY builder accounts (such as third-party WordPress, Wix, or Squarespace setups). All ongoing cloud hosting, security monitoring, and AI retainers apply exclusively to websites and applications engineered directly by OrbitCraft Web.

• Rapid Staging (48 Hours): Initial working concept presented within 48 business hours of kickoff.
• Full Production (7 to 10 Days): Final staging deployment delivered within 7 to 10 business days following receipt of the initial deposit and required client materials (photos, branding, service pricing).
• Consolidated Revisions: Every build includes up to two (2) consolidated rounds of feedback and copy revisions prior to public launch.
• 48-Hour Feedback Standard: To maintain your guaranteed launch timeline, the Client agrees to provide review feedback or staging approval within 48 business hours of receipt.

* Live DNS Cutover Gate: Under no circumstances will live production DNS records be pointed or code handed over until the final milestone balance is satisfied in full.

To prevent zombie projects and protect production scheduling:

• 14-Day Dormancy Trigger: If the Client fails to provide requested materials, feedback, or milestone approval for fourteen (14) consecutive calendar days without prior notice, the project enters Dormant Status.
• 7-Day Cure Notice: OrbitCraft Web will issue a written Dormancy Notice via email giving the Client seven (7) days to re-engage.
• Forfeiture (Day 21): If unresolved after 21 total calendar days, the project is officially canceled. The initial 50% deposit is retained as liquidated damages for reserved developer capacity.
• Project Resumption Fee: Reviving an abandoned project requires a $300 Resumption Fee and a newly scheduled delivery window.

• Retainer Commencement: Recurring monthly retainers begin thirty (30) days following project kickoff and cover high-speed cloud hosting, security monitoring, and continuous updates.
• 30-Day Notice Cancellation: Retainers may be canceled at any time with a 30-day written notice to paul@orbitcraftweb.com.
• 14-Day Suspension Grace Period: If a recurring payment fails, Stripe issues automated retries. If unpaid after 14 calendar days, AI services pause and web traffic routes to a temporary maintenance screen. A $150 administrative fee applies to reactivate suspended accounts.

We believe agency lock-in is unethical. Our terms guarantee:

• Full Client Ownership: Upon final milestone payment, the Client owns full rights to the compiled production frontend code and media assets.
• Free Code Package Export: Clients on Tiers 1, 2, and 3 who choose to self-host receive their compiled code package at zero cost upon account clearance.
• Domain Release Guarantee: OrbitCraft Web will immediately unlock your domain name and provide your EPP authorization code within 48 business hours with zero exit fees.
